Explanation of Responses:

1. On April 24, 2024, the reporting person filed a Form 4 (the "Original Form 4") which inadvertently understated in column 5 the number of shares directly owned by the reporting person following the reported transaction. This inadvertent understatement has been corrected in this amended filing. This understatement also affected the holdings reported in subsequently filed Forms 4, but will be corrected in any Forms 4 filed after the date of this amended filing.
